Terms and conditions

The agreement between you and Echo Thirteen Capital Ltd for your use of the Graftix platform.

These Terms and Conditions ("Terms") govern your access to and use of the GRAFTIX platform and related services ("the Service"). The Service is operated by Echo Thirteen Capital Ltd trading as GRAFTIX, a company registered in England and Wales (company number 15053443), with its registered office at 128 City Road, London, EC1V 2NX ("we", "us", "GRAFTIX").

By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. The Service

GRAFTIX provides a cloud-based construction field management platform for electrical, fire, security and data installation contractors, delivered as a Progressive Web App (PWA). The Service includes project management, task tracking, drawing management, procurement, safety and compliance tools, and AI-assisted features.

GRAFTIX operates a multi-region data residency model. When creating an organisation, administrators select the region in which their organisation's data will be stored: EU (United Kingdom, eu-west-2 London), US (US-region infrastructure), or Global (data distributed across both regions). This selection is permanent and cannot be changed after the organisation is created.

We reserve the right to modify, update or discontinue any feature of the Service at any time, subject to reasonable notice where such changes materially reduce functionality.

3. Your account

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

Each account is for one individual user. Sharing an account between multiple individuals is not permitted. If additional users require access, they must be invited as separate members under your Organisation's subscription.

4. Free trial

New organisations are entitled to a 7-day free trial with full access to the Service. No payment details are required during the trial. At the end of the trial period, the Service will enter read-only mode unless a paid subscription is activated. We reserve the right to change the trial duration or conditions at any time, with reasonable notice.

5. Subscription and payment

5.1 Fees

Subscription fees are as published on our Pricing page at the time of subscription. Fees are stated in Pounds Sterling (GBP) and exclusive of VAT unless otherwise stated.

5.2 Billing cycle

Subscriptions are billed in advance for each Subscription Period (monthly or annual). Billing begins on the date you subscribe.

5.3 Seat-based pricing

The subscription includes one base seat. Each additional active member added to your Organisation is billed at the per-seat rate for that billing period. Seat counts are calculated based on active members at the time of billing.

5.4 Payment

Payment is collected by our payment processor on our behalf. You authorise us (and our payment processor) to charge your nominated payment method for the applicable subscription fee on each billing date.

5.5 Failed payments

If payment cannot be collected, your subscription will be placed in "past due" status and the Service will enter read-only mode. We will notify you by email. Full access is restored automatically upon successful payment.

5.6 Price changes

We may change subscription fees by giving not less than 30 days' written notice (by email to the registered admin). If you do not wish to accept the new price, you may cancel your subscription before the new price takes effect.

5.7 Refunds

Subscription fees are non-refundable. We do not issue refunds for partial billing periods, unused features or periods during which you chose not to use the Service. This does not affect your statutory rights.

5.8 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal (accessible from the Billing page within the Service). Cancellation takes effect at the end of the current Subscription Period. You retain access to the Service until that date.

You agree not to use the Service to:

We reserve the right to suspend or terminate access immediately if we reasonably believe you have violated this clause.

7. Your content and data

You retain ownership of all Content you upload to or create within the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, process and display that Content solely to the extent necessary to provide the Service to you.

You are solely responsible for the accuracy, legality and appropriateness of your Content. You warrant that you have all necessary rights to upload and share any Content you provide.

We implement appropriate technical and organisational measures to protect your Content from unauthorised access, loss or destruction. However, we are not liable for any loss of Content arising from circumstances outside our reasonable control.

8. Our intellectual property

All intellectual property rights in the GRAFTIX platform — including its software, design, branding, documentation and AI models — are owned by or licensed to Echo Thirteen Capital Ltd. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to access and use the Service as described herein.

9. AI features

Certain features of the Service use artificial intelligence. AI-generated outputs are provided for guidance and efficiency purposes only. They may not always be accurate or complete. You are responsible for verifying the accuracy of AI-generated outputs (including symbol takeoff results and AI assistant responses) before relying on them for commercial, safety or compliance purposes.

10. Data protection

Each party shall comply with applicable data protection law (including the UK GDPR). Our Privacy Notice sets out how we collect and process personal data, including the list of sub-processors we engage and the regions in which data is stored.

Where we process personal data on your behalf (for example, the personal data of your team members stored in GRAFTIX), we do so as a data processor acting under your instructions, in accordance with the UK GDPR. The region selected at organisation creation determines where that data is stored and processed; this selection is permanent.

11. Limitation of liability

To the maximum extent permitted by applicable law:

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

12. Indemnification

You agree to indemnify and hold harmless Echo Thirteen Capital Ltd, its officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Content; or (c) your use of the Service in violation of any law or the rights of a third party.

13. Third-party services

The Service integrates with or links to third-party services (such as payment processing, email delivery and AI services). These third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, content or practices of any third-party service.

14. Suspension and termination

We may suspend or terminate your access to the Service immediately and without notice if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we discontinue the Service. Upon termination, your right to access the Service ceases. We will retain your Content for 90 days following termination to allow for export, after which it will be permanently deleted.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence provide otherwise.

16. Changes to these Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email. Continued use of the Service after the effective date of any updated Terms constitutes acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.

17. Entire agreement

These Terms, together with our Privacy Notice and Fair Use Policy, constitute the entire agreement between you and Echo Thirteen Capital Ltd regarding your use of the Service and supersede all prior agreements, representations and understandings.
